Serving as co-trustees under Ohio law

Two or more trustees serving together is common in family trusts. This guide explains how the Ohio Trust Code has cotrustees act and decide, when one is liable for another, and what happens when one leaves — as the statute states it.

Majority rule among three or more

R.C. 5807.03(A) provides that where three or more cotrustees are serving, they may act by majority decision; two cotrustees act together. A cotrustee participates in the performance of a trustee's function unless unavailable because of absence, illness, disqualification or other temporary incapacity, or having properly delegated it to another trustee; where a cotrustee is unavailable and prompt action is necessary, the remaining cotrustee or a majority of them may act (R.C. 5807.03(C), (D)). If a vacancy occurs, the remaining cotrustees may act for the trust (R.C. 5807.03(B)).

Delegation and liability between cotrustees

A trustee may delegate to a cotrustee duties and powers a prudent trustee of comparable skills could properly delegate, under R.C. 5808.07, and may revoke a delegation that was not irrevocable (R.C. 5807.03(E)). A trustee who does not join in another trustee's action is not liable for it, but each trustee exercises reasonable care to prevent a cotrustee from committing a serious breach of trust and to compel a cotrustee to redress one — not required, and without liability for the loss, where R.C. 5815.25 applies or more than one other trustee acts by majority vote; a dissenting trustee who joins an action at the majority's direction after notifying a cotrustee of the dissent is not liable for it (R.C. 5807.03(F) to (H)). Where more than one trustee is liable for a breach, contribution runs among them except to a trustee substantially more at fault or who acted in bad faith (R.C. 5810.02(B)).

Vacancies, and signing for the trust

A vacancy occurs when a trustee resigns, is removed, dies or has a guardian appointed; it need not be filled while a cotrustee remains (R.C. 5807.04(B)). A certification of trust states the authority of cotrustees to sign and whether all or fewer than all are required to exercise the trustee's powers, and any trustee may sign the certification (R.C. 5810.13(A)(6), (B)). The trustee's report on a vacancy is sent by the former trustee unless a cotrustee remains (R.C. 5808.13(C)).

Preguntas frecuentes

Must Ohio cotrustees act unanimously?

Three or more cotrustees may act by majority decision (R.C. 5807.03(A)); where there are two, both participate unless one is unavailable or has delegated the function (R.C. 5807.03(C), (D)).

Is an Ohio cotrustee liable for the other's breach?

A trustee who does not join in another's action is not liable for it, but each exercises reasonable care to prevent and redress a cotrustee's serious breach, except where R.C. 5815.25 applies or more than one other trustee acts by majority (R.C. 5807.03(F), (G)); a dissenting trustee who notified a cotrustee is not liable (R.C. 5807.03(H)).

What happens when one Ohio cotrustee resigns?

The resignation takes at least thirty days' notice to the qualified beneficiaries, the settlor if living and all cotrustees, or the court's approval (R.C. 5807.05); the remaining cotrustees act, and the vacancy need not be filled (R.C. 5807.03(B), 5807.04(B)).
