An Ohio successor trustee takes office by accepting (R.C. 5807.01) and from that day owes the Ohio Trust Code's duties (R.C. 5808.01 to 5808.13): within 60 days of accepting, notice of the acceptance to the current beneficiaries, and within 60 days of knowing the trust is irrevocable, notice of its existence (R.C. 5808.13(B)); the trustee's report at least annually (R.C. 5808.13(C)); reasonable compensation (R.C. 5807.08).

What "successor trustee" means in Ohio
A trustee is the person who holds and administers the trust property; the word includes an original, additional and successor trustee and a cotrustee (R.C. 5801.01(X)). A successor takes office when a vacancy occurs — a designated trustee rejects, cannot be identified, resigns, is disqualified or removed, dies, or has a guardian appointed (R.C. 5807.04(A)). A vacancy that must be filled is filled by the person the terms designate, then by a person someone the terms name appoints, then by a person the qualified beneficiaries unanimously agree on, then by the court (R.C. 5807.04(C)); the court may appoint an additional trustee or a special fiduciary whenever the administration needs one (R.C. 5807.04(E)).
Ohio issues no letters of trusteeship for a living trust: an inter vivos trust is not subject to continuing judicial supervision unless the court orders it (R.C. 5802.01(B)), and the probate division's jurisdiction over it is concurrent and invoked by an interested person (R.C. 5802.03). A testamentary trustee under the probate court is a different office, with accounts to the court (R.C. 2109.303).
Taking office: accepting, rejecting, and preserving
A designated trustee accepts by substantially complying with a method of acceptance the terms provide or, where the terms provide none or the method is not expressly exclusive, by accepting delivery of the trust property, exercising powers or performing duties as trustee, or otherwise indicating acceptance (R.C. 5807.01(A)). A designee who has not accepted may reject, and one who does not accept within a reasonable time after knowing of the designation is deemed to have rejected (R.C. 5807.01(B)). Without accepting, a designee may act to preserve the trust property — sending a rejection within a reasonable time after acting — and may inspect the property for environmental or other liability (R.C. 5807.01(C)).
By accepting the trusteeship of a trust administered in Ohio, the trustee submits personally to the jurisdiction of Ohio's courts regarding any matter involving the trust (R.C. 5802.02(A)). A bond is required only where the court finds one needed or the terms require it and the court has not dispensed with it (R.C. 5807.02).
The two notices: 60 days from accepting, 60 days from knowing
Within 60 days after accepting a trusteeship, the trustee notifies the current beneficiaries of the acceptance and of the trustee's name, address and telephone number (R.C. 5808.13(B)(2)). Within 60 days after the date the trustee acquires knowledge of the creation of an irrevocable trust, or knowledge that a formerly revocable trust has become irrevocable, the trustee notifies them of the trust's existence, the identity of the settlor or settlors, the right to request a copy of the trust instrument and the right to a trustee's report (R.C. 5808.13(B)(3)). The current beneficiaries are the distributees and permissible distributees of income or principal on the date of determination (R.C. 5801.01(F)); any beneficiary who has requested notice receives it too (R.C. 5801.09(A)).
Both notices apply to acceptances and irrevocability on or after January 1, 2007 (R.C. 5808.13(F)); while the settlor of a revocable trust lives, they are owed to the settlor alone (R.C. 5808.13(G)). The settlor may displace them for a current beneficiary who has attained twenty-five only by designating a beneficiary surrogate in the instrument (R.C. 5801.04(B)(8), (C)). They are sent by a method reasonably suitable and likely to result in receipt (R.C. 5801.08).
The duties that come with the role
On accepting, a trustee administers the trust in good faith, in accordance with its terms and purposes and the interests of the beneficiaries (R.C. 5808.01); solely in the beneficiaries' interests (R.C. 5808.02); impartially where there are two or more (R.C. 5808.03); as a prudent person would, with reasonable care, skill and caution (R.C. 5808.04); incurring only reasonable costs (R.C. 5808.05) and using any special skills (R.C. 5808.06). The trustee takes control of and protects the property (R.C. 5808.09), keeps adequate records and separate property (R.C. 5808.10), enforces and defends claims (R.C. 5808.11), collects property held by others (R.C. 5808.12), keeps the current beneficiaries informed and reports to them (R.C. 5808.13), and invests under the Ohio Uniform Prudent Investor Act (R.C. 5809.02).
- Good faith, loyalty, impartiality and prudence — R.C. 5808.01 to 5808.04.
- Control, records, claims and collection — R.C. 5808.09 to 5808.12.
- The two notices, the response to requests and the report — R.C. 5808.13.
- Investment as a prudent investor, with a review of the assets at the start — R.C. 5809.02, 5809.04.
First steps before acting
Read the trust instrument and every amendment before acting in the trustee's name; the terms shape every default rule the code states. Record the date of death, the date you accepted and the date you learned the trust was irrevocable. Find the deeds, the account statements and the beneficiary designations; list each asset by how it is titled. Identify the current beneficiaries and note, for each, your own answer to whether that person is one today; TrusteeClear records your answers and never decides them. Open the trust's accounts in the trustee's name (R.C. 5810.14) and keep the record from day one.

Cotrustees and the excluded fiduciary
Three or more cotrustees may act by majority decision; two act together; a cotrustee participates unless unavailable or having properly delegated, and the remaining cotrustees act during a vacancy (R.C. 5807.03). Each trustee exercises reasonable care to prevent a cotrustee's serious breach of trust, except where R.C. 5815.25 applies or more than one other trustee acts by majority; a dissenting trustee who joins at the majority's direction after notifying a cotrustee is not liable (R.C. 5807.03(G), (H)). Where the instrument gives the grantor, a committee or another person a power to direct to the trustee's exclusion, the excluded fiduciary is not liable for a loss from complying with an authorized direction (R.C. 5815.25(C)); a person other than a beneficiary holding a power to direct is presumptively a fiduciary (R.C. 5808.08(D)).
Resigning, being removed, and the vacancy
A trustee may resign on at least thirty days' notice to the qualified beneficiaries, the settlor if living and all cotrustees, or with the court's approval (R.C. 5807.05(A)); a resignation does not discharge liability for prior acts (R.C. 5807.05(C)). The court may remove a trustee for a serious breach of trust, a lack of cooperation among cotrustees that substantially impairs the administration, or unfitness, unwillingness or persistent failure to administer effectively (R.C. 5807.06). A trustee who has resigned or been removed keeps the duties and powers needed to protect the property until it is delivered, and delivers it expeditiously to the cotrustee or successor (R.C. 5807.07); a departing trustee may use the optional succession process with its forty-five-day objection period (R.C. 5801.23).
Compensation, the report, and the ways trustees get into trouble
A trustee is entitled to the compensation the terms specify or, where they do not, to compensation reasonable under the circumstances, the court adjusting a fee that is unreasonably low or high (R.C. 5807.08); the trustee notifies the current beneficiaries in advance of any change in the method or rate (R.C. 5808.13(B)(4)) and is reimbursed for expenses properly incurred (R.C. 5807.09). The trustee's report goes to the current beneficiaries, and the beneficiaries who request it, at least annually and at the termination (R.C. 5808.13(C)).
A trustee's violation of a duty is a breach of trust, for which the court may compel performance, enjoin, compel redress, order an accounting, appoint a special fiduciary, suspend or remove the trustee, reduce or deny compensation or order other relief (R.C. 5810.01); the trustee is liable for the greater of the loss and the profit (R.C. 5810.02). A transaction for the trustee's own account, or with the trustee's spouse, relatives, agent or attorney, is voidable by an affected beneficiary (R.C. 5808.02(B), (C)); an exculpatory term does not reach bad faith or reckless indifference (R.C. 5810.08); and a beneficiary's consent or release protects the trustee only if informed (R.C. 5810.09).
When a licensed Ohio attorney is the right next call
Whether to accept, who the current beneficiaries are on a date, whether the instrument names a surrogate or displaces a default, how a particular transaction fares under the duty of loyalty, and what a report should contain to start the two-year period are questions a licensed Ohio attorney of your choosing answers from the instrument and the facts. How does a successor trustee take over in Ohio?
By accepting the trusteeship — under the instrument's method or by conduct (R.C. 5807.01) — once a vacancy occurs (R.C. 5807.04). No court order or letters are needed for a living trust; a certification of trust (R.C. 5810.13) establishes the trustee's identity and any succession to banks and buyers.
What notices does an Ohio successor trustee send?
Two, each to the current beneficiaries: within 60 days of accepting, notice of the acceptance and the trustee's name, address and telephone number (R.C. 5808.13(B)(2)); within 60 days of acquiring knowledge that the trust is irrevocable, notice of its existence, the settlor's identity, the right to a copy of the instrument and the right to a trustee's report (R.C. 5808.13(B)(3)).
Can an Ohio successor trustee be paid?
Yes — as the terms specify, or compensation reasonable under the circumstances where they are silent, with the court able to allow more or less (R.C. 5807.08); the current beneficiaries receive advance notice of any change in the method or rate (R.C. 5808.13(B)(4)).
Does an Ohio trustee have to audit the previous trustee?
A successor fiduciary is not required to inquire into any act, or audit any account, of the transferor fiduciary unless the instrument directs it or the successor has actual knowledge of conduct that would be a breach (R.C. 5815.24(B)); the successor's responsibility for the prior administration is governed by that section (R.C. 5808.12).
