The standard
If the terms of a trust do not specify the trustee's compensation, the trustee is entitled to compensation that is reasonable under the circumstances (A.R.S. § 14-10708(A)). If the terms specify it or refer to an ascertainable source, the trustee is compensated as specified, but the court may allow more or less where the duties are substantially different from those contemplated when the trust was created or the specified compensation would be unreasonably low or high (§ 14-10708(B)) — a power the instrument cannot remove (§ 14-10105(B)(7)).
Notice and the report
A trustee notifies the qualified beneficiaries at least thirty days in advance of any change in the method or rate of the trustee's compensation (A.R.S. § 14-10813(B)(4)), and every trustee's report shows the source and amount of the compensation (§ 14-10813(C)). An agreement between a trustee and a beneficiary on the trustee's compensation, and the payment of reasonable compensation, are not loyalty breaches if fair to the beneficiaries (§ 14-10802(H)).
Reimbursement
A trustee is entitled to reimbursement from the trust property, with reasonable interest, for expenses properly incurred in the administration and, to the extent necessary to prevent the trust's unjust enrichment, for expenses not properly incurred; an advance by the trustee for the trust's protection creates a lien to secure its reimbursement (A.R.S. § 14-10709). A trustee's reasonable fees and costs in the good-faith defense or prosecution of a proceeding about the administration are reimbursed whether or not the trustee succeeds, and the court may order another party or the trust to pay them (§ 14-11004).
When compensation is questioned
Among the remedies for a breach of trust, the court may reduce or deny compensation to the trustee (A.R.S. § 14-11001(B)(8)). A beneficiary's time to bring a claim runs one year from a report that adequately disclosed the potential claim and stated the time allowed, and otherwise two years from the trustee's departure, the end of the interest or the trust's end (§ 14-11005). A record of the trustee's time, tasks and the basis of each payment is what a review draws on.
