A Pennsylvania successor trustee is the person the trust names to take over when the original trustee dies, resigns or can no longer serve. The successor becomes trustee by accepting — through the method the trust provides or, failing an exclusive one, by taking over the property or acting as trustee (20 Pa.C.S. §7761) — and then administers the trust under the Pennsylvania Uniform Trust Act.

What "successor trustee" means in Pennsylvania
Most Pennsylvania revocable trusts name the settlor as the first trustee and then name one or more successors: the person or institution who steps in when the settlor can no longer act, and who administers the trust after the settlor's death. Pennsylvania enacted the Uniform Trust Code as the Uniform Trust Act, Chapter 77 of Title 20, and the trust's own terms govern except where the act's mandatory rules say otherwise — among them the whole duty to inform and report (20 Pa.C.S. §7705).
Whether a trust is revocable is the first thing a successor reads. A settlor may revoke or amend a trust unless its terms expressly provide that it is irrevocable (20 Pa.C.S. §7752). While a trust is revocable, the beneficiaries' rights are subject to the settlor's control and the trustee's duties are owed exclusively to the settlor (20 Pa.C.S. §7753).
Taking office: accepting, declining, and preserving
A person named as trustee accepts the trusteeship by substantially complying with a method of acceptance the trust's terms provide or, where the terms provide no method or the method is not expressly exclusive, by accepting delivery of the trust property, exercising powers or performing duties as trustee, or otherwise indicating acceptance (20 Pa.C.S. §7761(a)). Pennsylvania attaches no notice deadline to the acceptance itself; the date is still worth recording, because a change of trustee is notified in writing (20 Pa.C.S. §7780.3(g)).
A named trustee who has not accepted may reject the trusteeship, and one who does not accept within a reasonable time after knowing of the designation is deemed to have rejected it (20 Pa.C.S. §7761(b)). Without accepting, a named trustee may act to preserve the trust property, so long as a written rejection is sent within a reasonable time afterward, and may inspect the property to assess environmental or other liability (20 Pa.C.S. §7761(c)).
Pennsylvania adds a rule the uniform act does not have in the same words: a successor trustee is not personally liable for a predecessor's acts or omissions and has no duty to investigate them (20 Pa.C.S. §7770). The handover record is still worth making — it shows what you received and when.
The notices: counted from what you learn
A successor trusteeship usually begins in one of two ways. When the settlor can no longer manage the trust, the trust's own incapacity clause says how the successor takes over, and the trust stays revocable; the trustee's duties are owed to the settlor (20 Pa.C.S. §7753). If a court adjudicates the settlor incapacitated, the trustee of a revocable trust sends the statute's notice to the settlor's guardian within 30 days after learning of it (20 Pa.C.S. §7780.3(b)). When the settlor dies, a revocable trust becomes irrevocable and the administration takes on its clocks.
No later than 30 days after the trustee of a revocable trust learns that the settlor has died, the trustee sends a written notice to the settlor's personal representative, the spouse, each child who is sui juris and the current beneficiaries (20 Pa.C.S. §7780.3(c)). The notice states the trust's existence, the settlor's identity, the trustee's name, address and telephone number, the recipient's right to a copy of the trust instrument on request, each current beneficiary's right to periodic written financial reports at least annually on request, and each trust director's contact details (20 Pa.C.S. §7780.3(i)). Each later change of trustee is notified in writing too, with no period stated (20 Pa.C.S. §7780.3(g)).
Who receives the notice turns on a Pennsylvania definition. A "current beneficiary" is a person 18 or older to or for whom income or principal must currently be distributed, or a person 25 or older to or for whom it may be distributed in the trustee's discretion (20 Pa.C.S. §7703) — a narrower group than every beneficiary. Banks, brokerages and title companies usually ask for proof of authority rather than the trust itself; Pennsylvania lets a trustee give them a certification of trust stating the facts the statute lists (20 Pa.C.S. §7790.3).
The duties that come with the role
The Pennsylvania Uniform Trust Act states a trustee's duties section by section. A successor who has read these once will recognize most later questions as one of them.
- Administer the trust in good faith, in accordance with its terms and purposes and the interests of the beneficiaries, and in accordance with applicable law (20 Pa.C.S. §7771).
- Act solely in the beneficiaries' interests: a transaction affected by a conflict between your personal and fiduciary interests can be undone by an affected beneficiary unless an exception the statute states applies (20 Pa.C.S. §7772).
- Act impartially among beneficiaries with different interests (20 Pa.C.S. §7773), and administer the trust as a prudent person would, with reasonable care, skill and caution (20 Pa.C.S. §7774).
- Take reasonable steps to take control of and protect the trust property (20 Pa.C.S. §7779).
- Keep adequate records, keep trust property separate from your own, and have it designated as the trust's where feasible (20 Pa.C.S. §7780).
- Respond promptly to a reasonable request for information from the settlor or an irrevocable trust's beneficiary, and send the notices the statute sets (20 Pa.C.S. §7780.3).
- Exercise a discretionary power in good faith and in accordance with the trust's terms and purposes, however broad the discretion the terms grant (20 Pa.C.S. §7780.4).
- Delegate only as a prudent trustee of comparable skills would, with care in choosing, instructing and reviewing the agent (20 Pa.C.S. §7777).
First steps before acting
Whatever the beginning, the first steps look alike: find and read the trust and every amendment; decide in writing whether you will serve; take control of and protect the trust property (20 Pa.C.S. §7779); obtain the trust's own tax identification number and open its own account, keeping it separate (20 Pa.C.S. §7780); record the date you learned of the death, because the 30-day notice counts from it; and write down what you did, when, and why. A trust holds only what was transferred to it, so the asset review also shows what passes outside the trust — by beneficiary designation, joint ownership, or the probate estate. Pennsylvania has no transfer-on-death deed for real estate.

Cotrustees, professional help, and delegation
When the trust names cotrustees, Pennsylvania's default is that cotrustees who cannot agree unanimously may act by majority; where no majority agrees, the court may direct the exercise of the power; and each cotrustee participates unless unavailable or properly delegated (20 Pa.C.S. §7763).
A trustee is not expected to be an accountant, an appraiser or a lawyer. A trustee may delegate duties and powers a prudent trustee of comparable skills might delegate, and one who uses reasonable care in selecting the agent, setting the scope and terms of the delegation and reviewing the agent's actions is not liable for the agent's decisions (20 Pa.C.S. §7777). A trustee is reimbursed from the trust for expenses properly incurred in the administration (20 Pa.C.S. §7769).
Resigning, being removed, and the vacancy
A Pennsylvania trustee may resign with the court's approval, without it where the trust's terms authorize resignation, or under a nonjudicial settlement agreement; resigning does not by itself relieve the trustee of liability, and the resignation may be filed with the clerk (20 Pa.C.S. §7765). Until the property reaches a successor, a trustee who has resigned or been removed keeps a trustee's duties and the powers needed to protect it, and proceeds expeditiously to deliver it (20 Pa.C.S. §7767).
The settlor, a cotrustee or a beneficiary may ask the court to remove a trustee; the court may remove one where removal best serves the beneficiaries' interests and the trustee has committed a serious breach, cotrustees' lack of cooperation substantially impairs the administration, the trustee has not administered the trust effectively, or circumstances have substantially changed, as the statute sets out (20 Pa.C.S. §7766). A vacancy with no trustee remaining is filled, in order, by the person the terms designate, by a person the qualified beneficiaries appoint by unanimous written agreement, or by the court (20 Pa.C.S. §7764).
Compensation, reports, and the ways trustees get into trouble
Where neither the trust's terms nor a written agreement sets it, a Pennsylvania trustee is entitled to compensation that is reasonable under the circumstances; neither governs payment from principal unless it explicitly says so (20 Pa.C.S. §7768). Pennsylvania has no fee schedule.
Reports also do legal work: where a trustee sends written financial reports at least annually, each carrying a conspicuous written statement of the rule, a beneficiary who does not object in writing to a disclosed transaction, with the basis, within 30 months after the report is barred from challenging it; any claim is otherwise barred five years after the first of the notice of a change of trustee after a removal, resignation or death, the end of the beneficiary's interest, or the trust's termination (20 Pa.C.S. §7785). Most trouble starts the same way: commingling, a transaction with oneself or one's family (20 Pa.C.S. §7772), an unanswered request, a missed notice, or a decision made without a record.
When a licensed Pennsylvania attorney is the right next call
TrusteeClear organizes the record and, for a trustee using it directly, places the trustee's own facts into the blanks of the notice and the certification of trust; it does not give legal advice, review a trust, or decide for you who is a current beneficiary or which notice applies. Many successor trustees bring the record to a licensed Pennsylvania attorney of their choosing before a discretionary distribution to themselves, a sale to a family member, a resignation, a dispute among beneficiaries, an account settled without the court (20 Pa.C.S. §7785.1) or a court proceeding — the points where the answer turns on the trust's words and the facts rather than on a general rule.
Частые вопросы
Who can be a successor trustee in Pennsylvania?
The trust names its successors and their order. A named trustee who does not accept within a reasonable time after knowing of the designation is deemed to have rejected it (20 Pa.C.S. §7761(b)). A vacancy with no trustee remaining is filled, in order, by the person the trust designates, by a person the qualified beneficiaries appoint by unanimous written agreement, or by the court (20 Pa.C.S. §7764(c)).
How does a Pennsylvania successor trustee accept the role?
By substantially complying with a method of acceptance the trust provides or — where it provides none, or its method is not expressly exclusive — by accepting delivery of the trust property, exercising powers or performing duties as trustee, or otherwise indicating acceptance (20 Pa.C.S. §7761(a)).
Does a Pennsylvania successor trustee have to notify the beneficiaries?
Pennsylvania's statute provides that, no later than 30 days after the trustee of a revocable trust learns of the settlor's death, the trustee sends a written notice to the personal representative, the spouse, each child who is sui juris and the current beneficiaries (20 Pa.C.S. §7780.3(c)), and that each change of trustee is notified in writing (§7780.3(g)).
Is a successor trustee responsible for what the previous trustee did?
Pennsylvania provides that a successor trustee is not personally liable for a predecessor's acts or omissions and has no duty to investigate them (20 Pa.C.S. §7770). A successor still takes reasonable steps to take control of and protect the trust property (§7779) and to enforce the trust's claims (§7780.1).
Does a successor trustee need a lawyer in Pennsylvania?
No statute requires one for a trust administration. Many trustees engage a licensed Pennsylvania attorney of their choosing for the parts that are not general; a trustee is reimbursed from the trust for expenses properly incurred in the administration (20 Pa.C.S. §7769).
How does a successor trustee prove authority to a bank?
With a certification of trust: a statement of the facts the statute lists — the trust's existence and the instrument's date, the settlor, the acting trustee and address, the trustee's powers, revocability, how cotrustees sign, the trust's taxpayer identification number and the manner of taking title — signed or otherwise authenticated by any trustee (20 Pa.C.S. §7790.3).
