Prudent administration and investing as a North Carolina trustee

Most of a trustee's day-to-day judgment falls under two standards: administer as a prudent person would, and invest as a prudent investor would. This guide sets out what the statutes provide.

The prudent person standard

N.C. Gen. Stat. § 36C-8-804 provides that a trustee administers the trust as a prudent person would, considering its purposes, terms, distributional requirements and other circumstances, with reasonable care, skill and caution. Costs are only those reasonable in relation to the property, the purposes and the trustee's skills (N.C. Gen. Stat. § 36C-8-805), and a trustee with special skills uses them (N.C. Gen. Stat. § 36C-8-806).

The prudent investor rule

A trustee who invests owes the beneficiaries the prudent investor rule of Article 9 — a default rule the trust's investment provisions may expand, restrict or eliminate (N.C. Gen. Stat. § 36C-9-901). Decisions are judged across the portfolio as a whole, as part of a strategy with risk and return objectives suited to the trust, considering the listed circumstances — economic conditions, inflation or deflation, taxes, the role of each investment, total return, the beneficiaries' other resources, liquidity, and an asset's special value to the trust (N.C. Gen. Stat. § 36C-9-902).

The trustee diversifies unless special circumstances make the purposes better served without it (N.C. Gen. Stat. § 36C-9-903), and compliance is judged by the facts at the time of the decision, not by hindsight (N.C. Gen. Stat. § 36C-9-905).

The review at the start

Within a reasonable time after accepting or receiving the assets, the trustee reviews them and makes and implements decisions about retaining and disposing of them (N.C. Gen. Stat. § 36C-9-904). North Carolina sets no number of days; the review and its reasons are worth recording.

Life insurance on the settlor

For a contract insuring the settlor's life, or the settlor's and the spouse's, the trustee has no duty to determine whether it is or remains a proper investment, to exercise its options or to diversify it, and is not liable for a loss arising from the absence of those duties (N.C. Gen. Stat. § 36C-9-903.1).

Questions fréquentes

Does a North Carolina trustee have to diversify?

Generally yes, unless the trustee reasonably determines that, because of special circumstances, the trust's purposes are better served without diversifying (N.C. Gen. Stat. § 36C-9-903) — and the trust's terms may change the default (N.C. Gen. Stat. § 36C-9-901(b)).

How quickly must a North Carolina trustee review the investments?

Within a reasonable time after accepting the trusteeship or receiving the assets; the statute names no number of days (N.C. Gen. Stat. § 36C-9-904).

Is a North Carolina trustee liable for a market loss?

Absent a breach of trust, a trustee is not liable for a loss or depreciation in the value of trust property (N.C. Gen. Stat. § 36C-10-1003(b)); compliance with the prudent investor rule is judged by the facts at the time, not by hindsight (N.C. Gen. Stat. § 36C-9-905).
